1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Layoutly application (“App”, “Layoutly”, “we”, “us”, or “our”). By installing, accessing, or using the App on your Shopify store, you (“Merchant”, “you”) agree to these Terms and our Privacy Policy.

If you do not agree, do not install or use the App. The App is distributed through the Shopify App Store and requires an active Shopify store and Shopify account.

Shopify is not a party to these Terms. Your relationship with Shopify is governed by Shopify’s own agreements and policies.

2. Description of Service

Layoutly is a section marketplace for Shopify merchants. The App allows you to:

  • Browse and preview premium Online Store 2.0 compatible Liquid sections.
  • Purchase individual sections via one-time charges through Shopify’s Billing API.
  • Install purchased sections into themes you select and remove them when you choose.
  • Manage which sections are installed across multiple themes in your store.

3. Eligibility & Account

  • You must be at least 18 years old (or the age of majority in your jurisdiction) and authorized to bind your business.
  • You must have a valid Shopify store in good standing.
  • Access is provided through Shopify OAuth; we do not offer standalone Layoutly login accounts.
  • You are responsible for safeguarding your Shopify credentials and who on your team can access the App.

4. Purchases, Billing & Pricing

  • Each section is sold as a one-time purchase unless otherwise stated. There are no recurring subscription fees for individual section licenses.
  • Prices are shown in USD (or as displayed in the App) and may change for sections you have not yet purchased.
  • All payments are processed by Shopify through the Billing API. We do not collect or store payment card details.
  • After a successful purchase, you receive a license to use that section on unlimited themes within the Shopify store that made the purchase, subject to these Terms.
  • Charges are subject to Shopify’s billing terms and approval flows. Failed or declined charges do not grant a license.

5. Refunds

Because billing is handled by Shopify, refund requests should be directed to us at support@layoutlyapp.com within a reasonable time after purchase. We will review requests in good faith and, where appropriate, process refunds through Shopify. Refunds are not guaranteed for change-of-mind after a section has been installed, except where required by applicable law.

6. License & Intellectual Property

  • Layoutly retains all right, title, and interest in the App, marketplace, section designs, Liquid code, and related materials.
  • Upon valid purchase, you receive a non-exclusive, non-transferable, non-sublicensable license to use the purchased section in the purchasing store’s Shopify themes.
  • You may customize section settings through the Shopify Theme Editor for your store.
  • You may not resell, redistribute, sublicense, share, or make sections available outside your licensed store (including other stores you own unless each store purchases its own license).
  • You may not remove proprietary notices or misrepresent authorship of Layoutly sections.

7. Updates to Sections

We may update section files from time to time. Purchased sections include access to updates we publish for that section at no additional charge. Re-installing a section may be required to apply updates. Updates do not guarantee compatibility with every theme or third-party customization.

8. Theme Installation & Technical Requirements

  • The App installs section files into your theme using Shopify’s Theme API, within approved API scopes.
  • You choose which theme receives each installation. You are responsible for reviewing changes in a development or duplicate theme before applying to a live storefront where possible.
  • Installed .liquid files may remain in your theme after you uninstall the App; the App will no longer manage them, but you may delete them in the theme editor.
  • We are not liable for conflicts with custom theme code, other apps, or unsupported theme architectures.
  • Certain theme file operations may require Shopify platform approvals or exemptions; availability may vary by store or Shopify policy.

9. Acceptable Use

You agree not to:

  • Use the App unlawfully or in violation of Shopify’s Acceptable Use Policy or Partner policies.
  • Reverse engineer the App backend, circumvent billing, or access sections without paying where required.
  • Scrape, bulk-download, or automate extraction of the marketplace catalog beyond normal App use.
  • Interfere with the App’s security, integrity, or availability.

10. Availability & Support

  • We aim for reliable service but do not guarantee uninterrupted or error-free operation.
  • Support: support@layoutlyapp.com. We aim to respond within 2 business days (often sooner).
  • Planned maintenance or third-party outages (including Shopify or hosting providers) may affect availability.

11. Disclaimer of Warranties

THE APP AND ALL SECTIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SECTIONS WILL INCREASE SALES, MATCH EVERY DESIGN, OR WORK WITH EVERY THEME CONFIGURATION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYOUTLY AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE APP OR SECTIONS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SPECIFIC SECTION GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless Layoutly from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the App, violation of these Terms, or infringement arising from content you add to sections beyond Layoutly’s default materials.

14. Termination

  • You may stop using the App at any time by uninstalling it from your Shopify store.
  • We may suspend or terminate access if you materially breach these Terms or if required for legal or security reasons.
  • Upon termination, data handling is described in our Privacy Policy. Purchased licenses for sections already paid for generally survive termination for use within the store that purchased them, but the App will not manage installations after uninstall.

15. Changes to Terms

We may update these Terms by posting a revised version with a new “Last updated” date. Material changes may be communicated through the App or App Store listing. Continued use after the effective date constitutes acceptance.

16. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-law principles. Courts in Indonesia shall have exclusive jurisdiction, unless mandatory consumer protection laws in your country require otherwise.
